These terms are an agreement between you and StockGuard ("we", "us"), the provider of StockGuard, a subscription web application for tracking sales, stock and staff accountability in retail shops. By creating an account or continuing to use StockGuard, you agree to these terms. If you are signing up for a business, you confirm you are authorised to accept these terms on its behalf; if you are signing up as an individual, you confirm you are of legal age.
Your account
You must give accurate information and keep it up to date. You are responsible for keeping your login details and your staff PINs confidential, and for everything done under your account. Staff PINs identify who performed an action inside your shop; you decide who receives one.
Licence and acceptable use
We grant you a limited, non-exclusive, non-transferable right to use StockGuard for your own business, within the plan you have selected. You must not:
- use StockGuard unlawfully, or for fraud, spam or harassment;
- infringe anyone's intellectual property rights;
- interfere with the security of the service, including probing, scanning, scraping or introducing malware;
- reverse engineer, resell or redistribute the service, or work around plan limits such as staff account counts.
Records, discrepancies and staff
StockGuard records differences between what was sold and what was counted. These records are indicators, not accusations or proof of wrongdoing, and any decision you take about a staff member is yours alone. You are responsible for handling employee information lawfully, including under South African labour and data protection law.
Our intellectual property
We own StockGuard and everything in it — the software, design, documentation and branding. You keep ownership of the business data you enter, and you grant us a limited licence to host and process it solely to provide the service.
Service level
We work hard to keep StockGuard available, but we do not guarantee uninterrupted or error-free operation. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
Plans, payment and subscription terms
Every new shop starts with a 7-day free trial; no card is needed. After that you choose a paid plan, billed monthly or yearly in South African Rand, renewing automatically until cancelled. If you do not choose a plan when the trial ends, your records stay readable but you cannot record new activity.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are covered by Paddle's Buyer Terms. Refunds are described in our Refund Policy (14 days).
If you cancel, your plan keeps working until the end of the period you have already paid for, after which your records become read-only. If you switch between plans, the difference is charged or credited immediately and the new staff limits apply straight away.
Suspension and termination
We may suspend or terminate access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. On termination you may export your data for a reasonable period before it is deleted.
Liability
To the extent permitted by law, our total liability is limited to the fees you paid in the 12 months before the claim. We are not liable for indirect or consequential loss, including lost profits, lost data or lost goodwill. Nothing in these terms excludes liability for fraud, death or personal injury where the law does not allow it. You indemnify us against claims arising from your unlawful use of the service or the content you enter.
General
These terms are governed by the laws of South Africa, and the courts of South Africa have jurisdiction. You may not transfer this agreement without our consent; we may transfer it as part of a merger or sale of the business. Neither party is liable for delays caused by events beyond its reasonable control. Questions: support@stockguard.co.za.
